Le gouvernement d’entreprise des zaibatsu dans l’entre-deux-guerres

Structurés autour de la famille et de structures holding, les zaibatsu sont de véritables investissements relationnels. Cette caractéristique de gouvernement d’entreprise est propre à la structure organisationnelle du Japon avant la seconde guerre mondiale. Aussi l’économie de marché joue-t-elle un faible rôle dans les relations de la société mère avec les filiales. Le cas des zaibatsu est alors caractéristique d’une «corporate governance» sans marchés financiers et qui n’en conserve pas moins une certaine efficacité.

In placing the family and the holding company at the top, zaibatsu acquired the organisational characteristics of an exclusive investment relationship. This characteristic of zaibatsu corporate governance reveals the underlying organisational structure of the Japanese economy before World War II. If this view of corporate governance is accepted, then one can say that the financial markets did not govern the holding company’s relationship with its subsidiaries. The history of zaibatsu holding companies show the possibility of non-market-based governance; i.e., a corporate governance free from stock market evaluations which could also be an efficient structure for advancing the development of the overall enterprise.
